GENERAL TERMS AND CONDITIONS OF SALE ULTRAPOLYMERS
General
‘Seller’ means Utrapolymers Srbija do.o., with registered address Karadjordjeva 172, 22300 Stara Pazova, Serbia and company registration No. 17569511. ‘Buyer’ means the person who accepts a quotation from the Seller for the sale of the Goods or whose order for the Goods is accepted by the Seller. The Buyer and the Seller are individually referred to as Party or jointly as Parties. ‘Goods’ means all products, which the Seller is to supply in accordance with these Conditions. ‘Conditions’ means the general terms and conditions of sale as set out in this document. The Seller shall sell and the Buyer shall purchase the Goods in accordance with any written quotation of the Seller which is accepted by the Buyer, or any written order of the Buyer which is accepted by the Seller. The Conditions apply to all quotes given by the Seller to the Buyer and all contracts between the Seller and the Buyer, unless agreed otherwise in writing. The Buyer is assumed, unless agreed otherwise in writing, to have accepted these Conditions expressly and irrevocably. These Conditions shall always prevail over the terms and conditions of the Buyer or any involved third party. Any deviation from these Conditions requires the explicit written approval of the Seller. In case the Buyer would purchase any Goods through the Seller’s online sales platform, these Conditions and any mandatory national legislation (if any), shall apply to all offers, orders, contracts and deliveries, as a consequence of these online sales. Any typographical, clerical or other error or omission in any sale literature, quotation, price list, acceptance of offer, invoice or other document or information issued by the Seller shall be subject to correction without any liability on the part of the Seller. The headings in these Conditions are for convenience purposes only and cannot be used for interpretation purposes. The Buyer shall familiarise itself with any information provided by the Seller in relation to the Goods, including (but not limited to): (i) safe handling and use; and (ii) storage, transportation and disposal procedures. The Buyer shall instruct its employees and any of its contractors on these procedures and shall draw reasonable attention to hazards to persons, property, and the environment. The Buyer shall indemnify the Seller for all claims and costs, including reasonable attorneys' fees, arising out of Buyer's failure to comply with the foregoing obligations. The Seller shall be entitled to cancel any Order with 14 days' notice in the event of the Buyer's failure to comply with the above obligations.
2. Offers, orders and confirmation of orders
Any offer from the Seller is non-binding and it is to be seen as an invitation to the Buyer to submit a binding order. An order placed by the Buyer (or a change to an existing order) is binding upon the Buyer, but the Seller shall only be bound after its written confirmation, in view of the availability of the Goods. As from the moment an order is placed by the Buyer, the Buyer is not entitled to cancel the order.
3. Delivery and term of delivery
The delivery term shall be the term stated in the order confirmation and no others. Trade terms shall be interpreted in accordance with Incoterms 2020 (or any other later versions hereof) and title shall pass to the Buyer at the same time as the risks of loss or damage under the Incoterms 2020, notwithstanding clause 5. Risk of loss shall pass to the Buyer upon delivery into the custody of the carrier when the sales contract does not specify any trade term in this regard and title shall only pass upon full payment of the Goods. Unless explicitly agreed otherwise in writing, the delivery term is purely indicative and is not binding to the Seller. The Parties acknowledge that certain circumstances may hinder or postpone the delivery term. In that case the Seller will notify the Buyer hereof within a reasonable period of time and suggest a new delivery term. Under no circumstances the Seller can be held liable for any damages in case of late deliveries. The Seller is permitted, to make minor deviations in the volume of the ordered Goods, unless explicitly agreed otherwise in writing between the Parties. The Buyer will receive a bill relating to the actual quantity of the Goods delivered. The Seller is permitted, to make partial deliveries to the Buyer.
Unless specifically agreed otherwise, the Buyer is responsible for compliance with all laws and regulations regarding import, transport, storage and use of the Goods. Unless specifically agreed otherwise, the Seller will not take back any packing materials used for the delivery of the Goods, apart from returnable pallets (which need to be returned in a clean and good condition). Where delivery is effected in rail tank wagons or containers on trucks, the Buyer undertakes to return these to the respective owners of the wagons/containers in good condition on the same business day from the time of arrival, failing which the Buyer shall pay the Seller a penalty based upon standard rental rate of the owners of the wagons/containers.
4. Price of the Goods
The price of the Goods shall be the Seller’s quoted price. Unless specifically agreed otherwise, all prices quoted have a validity of maximum 5 days after which time it may be altered by the Seller without giving notice to the Buyer. Unless specifically agreed otherwise, the price does not include transport and insurance costs and is exclusive of any applicable taxes, such as but not limited to value added tax, any other state or local taxes, and/or any import and/or export duties, which the Buyer shall be liable to (re)pay to the Seller in addition to the price, regardless of how or on whom the tax is levied. The Seller reserves the right, by giving notice to the Buyer at any time before delivery, to increase the price of the Goods to reflect any increase in the cost to the Seller which is due to any factor beyond the control of the Seller, any change in delivery dates, quantities or specifications for the Goods which is requested by the Buyer, or any delay caused by any instructions of the Buyer or failure of the Buyer to give the Seller adequate information or instructions. If the Buyer is of the opinion that the price increase is unreasonable, it may object to such increase by written notice within 15 days of the date of receipt of the Seller’s notice. The Seller shall then have the right to continue to deliver to the Buyer at the initial price or to cancel the contract immediately upon notice to the Buyer in writing without any obligation to compensate the Buyer.
5. Payment conditions
All invoices are payable to the Seller within the period specified in the invoice unless the Parties expressly agree otherwise in writing. The price in the invoice is final and binding and all payments shall be made in the currency of the invoice. The Buyer may not suspend its payment obligation even in the event of a clearly grounded complaint or legal action in respect of the services/goods delivered. If payment is not made by the due date, interest in arrears at 10 % per annum shall be charged on the invoice sum, ipso jure and without need for prior reminder, from the invoice due date to the day of payment in full. If payment is not made within 10 days of the due date, the Seller might decide to increase the invoice sum, ipso jure and without need for prior reminder, by 10 % by way of compensation, to a minimum of 125 EUR. Without prejudice to the Seller’s other rights, in the event of non-payment and/ or in case of a suspension, decrease or cancellation of the approved credit limit by a credit insurance company the Seller shall be entitled to suspend without notice all further deliveries to the Buyer and/or declare all current contracts void by operation of law and/or demand payment of all invoices outstanding but not yet due, irrespective of the right of the Seller to demand compliance and/or compensation from the Buyer. In the event of non-payment the Buyer shall lose all rights to discounts granted, including but not limited to year-end rebates. The Seller has the right to reclaim the Goods already delivered on the grounds of the right of retention, even if the Seller has not yet ended the contract with the Buyer, until payment for the Goods delivered is received in full from the Buyer. The right of retention shall apply mutatis mutandis regarding Goods delivered by the Seller that are processed by the Buyer. The Seller shall acquire sole title to the newly produced goods and in the event the processing involves other materials, the Seller shall acquire pro rata the joint title to the newly produced goods in proportion of the invoice value of the Goods delivered by the Seller to the invoice value of the other materials. The Buyer is not entitled to set-off any due amounts or withholding of any kinds (save to the extent that this by law can be excluded). The Seller shall be entitled to transfer any claim under this contract to one of its affiliates, such as Factoring Service Center NV, without the prior consent of the Buyer. If any provisions in the general terms and conditions of the Buyer conflict with the transferability of a claim such provisions are hereby explicitly rejected and excluded.
6. Warranty/liability
The Seller undertakes that the Goods will meet sales specifications from the producer of the Goods. The Seller’s above warranty on the sales specifications is subject to the following assumptions: (i) the Seller shall be under no liability in respect of any defect in the Goods arising from processing of the Goods by non-qualified professionals, wilful damage, negligence, abnormal working conditions, inexpert storage, misuse or alteration of the Goods without the Seller’s approval; and (ii) the Seller shall be under no liability under the above warranty if the total price for the Goods has not been paid by the due date. The Buyer hereby warrants that the Goods will not directly or indirectly, by the Buyer or any third party, be used in any of the EU MDR 2017/745 class A, B or C and/or ISO 10993-1:2018 class I, II or III (or equivalent legislation/regulation in USA, Canada and/or any other country), without the prior written approval of the Seller for each specific product and/or application. The Seller cannot be held liable in the case that the aforementioned warranty is breached by the Buyer. All recommendations and/or (eventual) technical advice regarding the use or application of the Goods, any additional specifications and/or warranties on the Goods, given by the Seller and any of its employees or representatives (e.g. by e-mail, phone, …) outside the standard written sales specifications, do not provide any warranty as to the results to which the Buyer is aiming or is intending to obtain through its own manufacturing process, nor can any liability in this regard be accepted by the Seller. In case Parties have agreed that Goods are sold as “off-grade material” (outside standard sales specifications), second quality goods, goods of reprocessed material or the like, the Seller cannot accept any liability as to the quality of the Goods. Minor deviations in quantity are not qualified as defects and must be accepted by the Buyer. The Buyer will only be invoiced based upon the actual delivered Goods. The Buyer is obliged to inspect the Goods immediately after delivery and shall within 5 days of the arrival of each delivery of the Seller, notify the Seller in writing by registered letter of any visible defect by reason of which the Buyer alleges that the Goods delivered are not in accordance with the Goods’ sales specifications. In the case of defects which were undetectable through a visible inspection on the delivery date by the Buyer, or only became apparent after processing of the Goods, the Buyer must respond to the Seller within 5 days of their discovery by registered letter. Either (i) failure to inspect the Goods immediately after delivery; (ii) failure to give written notice on the said dates by registered letter, or (iii) processing of the Goods supplied under this contract (only in the case that the visible defect should have been detected but was not), constitutes an unqualified and irrevocable acceptance of the Goods by the Buyer and a full waiver by the Buyer of all claims towards the Seller. The liability of the Seller as regards to defective or damaged Goods shall only be confined to recovery of the purchase price of the defective or damaged Goods or, if preferred by the Seller, replacement of the defective or damaged Goods. Under no circumstances, shall the Seller be liable for particular, incidental, indirect losses and consequential damages, such as loss of profits, costs of replacement materials or claims made by the Buyer’s customers/third parties or any other similar losses. Notwithstanding the above, the Seller’s total liability will in no event exceed the amount of the corresponding invoice of the Goods. In any event it is the Buyer’s obligation to take all possible measures to prevent or limit damage. Failure to mitigate damages constitutes a full waiver by the Buyer of all claims towards the Seller. The Buyer shall at any time fully co-operate with the Seller and the producer of the Goods in the case that any defect on the Goods are discovered.
The Seller shall not be liable to the Buyer or be deemed to be in breach of the contract by reason of any delay in performing, or any failure to perform, any of the Seller’s obligations in relation to the Goods, if the delay or failure was due to any cause beyond the Seller’s reasonable control. The Seller does not warrant that the Goods are free of patents or other industrial property rights of third parties. The limitation of liability contained herein shall apply for the benefit of any employees, agents and other representatives of the Seller. Notwithstanding anything contained in these Conditions to the contrary, the Buyer shall indemnify, defend and hold harmless the Seller and the Seller’s parent companies, affiliates and subsidiaries and its respective officers, directors and employees from and against any and all liabilities, costs, expenses, damages and losses (including any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal and other reasonable professional costs and expenses) suffered or incurred by the Seller arising out of or in connection with any claim made against the Seller by a third party arising out of or in connection with the supply or use of the Goods or any Goods in which the Goods are incorporated. This indemnity shall not apply to the extent that the primary and predominant cause of a claim is Goods’ non-conformity with the warranties at the time of dispatch.
7. Insolvency
Each Party shall have the right to terminate the contract upon delivery of written notice to the other Party in the event that (i) the other Party files in any court or agency pursuant to any statute or regulation of any jurisdiction a petition in bankruptcy or insolvency or for reorganization or similar arrangement for the benefit of creditors or for the appointment of a receiver or trustee of other Party or its assets, (ii) the other Party is served with an involuntary petition against it in any insolvency proceeding and such involuntary petition has not been stayed or dismissed within 90 days of its filing, (iii) the other Party makes a substantial assignment of all of its assets for the benefit of its creditors, or (iv) the credit worthiness of the other Party is endangered.
8. Force Majeure
In case of force majeure, such as, but not confined to e.g. (i) pandemics, (ii) war, civil unrest, martial law and/or acts of governments, (iii) strikes, (iv) trade sanctions, (v) fire and/or lightning strikes, (vi) unforeseeable production, traffic and/or shipping disturbances, (vii) unforeseeable shortages of labour, utilities and/or raw materials and supplies, the Seller shall retain at all times the right to either suspend its obligations as long as the situation of force majeure persists, or, should it persist for more than 6 months, to terminate the contract, without any liability of the Seller to compensate the Buyer for whatever reason.
9. Suspension of Obligations
If at any time during the contract, the Seller is of the view that there has been a substantial change in (i) business, (ii) monetary, technical or commercial conditions of the contract, as a result of which the Seller suffers material hardship in complying with this contract, the Seller will notify the Buyer in writing that it wishes to meet and review the conditions of the contract in the light of the changed business conditions. The Parties shall meet to discuss in good faith appropriate means, if any, to alleviate or mitigate the effects of such hardship in a manner equitable to both Parties. If no agreement can be reached, the obligations of both Parties will be suspended until the said substantial change has been normalized or the Seller is entitled to termination of the contract without any obligation to compensate the Buyer.
10. Safety, Compliance and Trademarks
The Buyer shall handle the Goods as recommended in the Material Safety Data Sheets and/or the Seller’s safety documentation. In the case that the Buyer would not be in the possession of this safety information, the Buyer will immediately contact the Seller on any required advice or information. The Buyer warrants and undertakes that it will comply with all applicable laws including but not limited to laws on anti-corruption, competition, data protection (see also article 12) and trade sanctions, and that all applicable measures are in place to ensure the Buyer is compliant with such laws. In case of any infringement by the Buyer, the Seller is entitled to terminate any contract with the Buyer without any notice period and/or obligation to pay any indemnity. In case of any said infringement by the Buyer, it will indemnify the Seller for any damages and losses upon first request. The Buyer will not use the trademarks of the Seller, its affiliates and/or the Seller’s supplier(s) without the Seller’s prior explicit written approval.
11. Specific Goods
In case the Goods are LyondellBasell Goods, the Buyer explicitly affirms it has read and understood, and that it shall regularly consult and appraise itself of any changes to (i) the prohibited applications and/or end-uses given in Section 1 of the relevant SDS (“Prohibited Applications”) on <u>www.lyb.com</u> and (ii) the end-use applications identified as Applications Requiring LyondellBasell Approval on www.lyb.com (“Restricted Applications”) for the Goods, both as may be amended from time to time. The Buyer warrants that Goods will not, directly or indirectly, by the Buyer or by any third party, be used in (i) Prohibited Applications, and in (ii) Restricted Applications without the Seller’s prior written approval for each specific Good or application. The Buyer further warrants that to the extent the Buyer received the Seller’s written approval as per the preceding sentence, it shall not use any Good in a medical application other than Goods sold under the Purell brand name. The Seller reserves the right to verify compliance with the foregoing and the Buyer shall timely provide all reasonable information so required by the Seller. The Seller reserves the right to terminate the Contract, fully or partially, (i) in case of the Buyer’s use of a Good in a Prohibited Application, (ii) in case of the Buyer’s use of a Good in a Restricted Application without the Seller’s prior written approval, and/or (iii) if the Buyer fails to (timely) provide the Seller with the information requested pursuant to this paragraph.
12. Miscellaneous
Applicable law and competent courts - The Conditions and all contracts between the Seller and the Buyer are subject exclusively to the law of Serbia. The Seller and the Buyer expressly exclude application of the United Nations Convention on Contracts for the International Sale of Goods (1980). In the case of a dispute the court of Belgrade, Serbia, shall have sole jurisdiction to hear the case between Parties. Non-validity - The non-validity or non-enforceability of one of the clauses of these Conditions shall not in any way affect the validity or enforceability of the other clauses of these Conditions.
Performance by affiliates – Assignment - At the Seller’s choice, any contractual obligation (partially or in whole) may be performed by the Seller or any of its affiliates and/or assigned to any of the Seller’s affiliates. Any deliveries made under these circumstances may be invoiced by the involved affiliate and shall constitute performance by the Seller, under the contract. In the case of assignment, the general terms and conditions of the affiliate will apply. No waiver - No waiver by the Seller of any breach of the contract by the Buyer shall be considered as a waiver of any subsequent breach of the same or any other provision. Changes in writing - Any change to these Conditions need to be agreed upon in writing between parties.
13. Data Privacy – GDPR
The Seller will comply with the General Data Protection Regulation (EU) (2016/679) or any local regulations applicable. Within the Seller and its affiliates the processing of personal data is allowed, but only for purposes compatible with those for which the personal data have been collected (i) processing of personal data of potential, current and former customers (ii) customer administration, bookkeeping system fulfilments, quality management fulfilments based on our contractual relationship and/or because you use our products and/or services. Customers will be informed through the privacy policies on our website. As our potential, current or former customer, you can exercise your rights with regard to your personal data: (i) right to withdraw consent at any time, (ii) right of access to the personal data, (iii) right to rectification of incomplete, inadequate or excessive personal data, (iv) right to erasure of inaccurate personal data, (v) right to data portability, and (vi) right to object. OPŠTI USLOVI PRODAJE KOMPANIJE ULTRAPOLYMERS
1. Opšti deo
„Prodavac“ se koristi u značenju Ultrapolymers Srbija d.o.o. sa registrovanom adresom Karadjordjeva 172, 22300 Stara Pazova, Srbija i matičnim brojem preduzeća 17569511.
„Kupac“ označava lice koje prihvati uslove ponude za prodaju dobara koje je postavio prodavac za ili čiju je narudžbinu dobara Prodavac prihvatio.
Prodavac i Kupac su posebno označeni kao Strana, a zajedno kao Strane.
„Dobra“ se koristi da označi sve proizvode za koje se Prodavac obavezao da će ih obezbediti u skladu sa ovim Uslovima. „Uslovi“ podrazumevaju opšte uslove prodaje na način određen ovim dokumentom.
Prodavac prodaje, a Kupac kupuje Dobra u skladu sa pisanom ponudom Prodavca koju Kupac prihvati, ili u skladu sa pisanom narudžbinom Kupca koju prihvati prodavac.
Uslovi važe za sve ponude koje Prodavac daje Kupcu i sve ugovore između Prodavca i kupca, osim ako pisanim dokumentom nije drugačije određeno. Pretpostavlja se da je kupac, osim ako nije drugačije usaglašeno pisanim dokumentom, ove uslove prihvatio trenutno i neopozivo. Ovi Uslovi se primarno primenjuju i imaju prednost nad uslovima Kupca ili neke uključene treće strane. Svako odstupanje od ovih Uslova iziskuje eksplicitno pisano odobrenje prodavca.
U slučaju da Kupac kupi neka dobra putem onlajn prodajne platforme Prodavca, primenjivaće se ovi uslovi poslovanja i svi obavezujući nacionalni zakonodavni akti (ako takvi postoje), na sve ponude, narudžbine, ugovore i isporuke koji nastupaju kao posledica ovih onlajn-prodaja.
Svaka omaška ili greška u pisanju ili sadržaju ili izostavljen sadržaj u kupoprodajnoj dokumentaciji, ponudi, cenovniku, prihvatanju ponude, fakturi ili drugom dokumentu ili u informacijama koje je dao Prodavac podleže ispravkama i ne povlači odgovornost prodavca.
Podnaslovi u okviru ovih Uslovi u okviru ovih poglavlja postoje radi preglednosti i ne mogu se koristiti u svrhe tumačenja.
Kupac treba da se upozna sa svakom informacijom koju Prodavac daje u vezi sa Dobrima, uključujući (ali ne ograničavajući se na): (i) bezbedno rukovanje i upotrebu; i (ii) postupke skladištenja, transporta i odlaganja. Kupac je u obavezi da uputi svoje zaposlene ili druga angažovana lica na ovim postupcima, te da u razumnoj meri skrene pažnju na moguće povrede ljudi, oštećenja imovine ili opasnosti po okolinu. Kupac je u obavezi da obešteti Prodavca u slučaju ma kog pravnog postupka i povezanih troškova, uključujući i razumne troškove pravnog zastupnika, nastale usled nemogućnosti Kupca da se pridržava gorenavedinih obaveza. Prodavac ima pravo da poništi svaku narudžbinu uz obaveštenje u roku od 14 dana u slučaju da Kupac nije u mogućnosti da ispuni gorenavedene obaveze.
2. Ponude, narudžbine i potvrda narudžbina
Svaka ponuda koju Prodavac da je neobavezujuća i treba je tumačiti kao poziv Kupcu da podnese obavezujuću narudžbinu.
Narudžbina koju je obavio Kupac (ili izmena postojeće narudžbine) obavezujuća je za Kupca, ali Prodavac je u obavezi da je izvrši tek posle pisane potvrde, u smislu dostupnosti Dobara. Od trenutka kada Kupac da narudžbinu, Kupac nema pravo da je poništi.
3. Isporuka i uslovi isporuke
Uslovi isporuke u uslovi navedeni u potvrdi narudžbine i ni jedni drugi. Ovi uslovi se tumače u smislu Incoterms-a 2020 (ili neke njihove kasnije verzije), a Kupac se smatra vlasnikom od istog trenutka kada na on počinje da snosi rizik od gubitka i oštećenja u skladu sa Incoterms-om 2020, bez obzira na Odredbu 5. Rizik od gubitka snosi kupac od trenutka isporuke, koja je bila odgovornost prevoznika, osim ako kupoprodajni ugovor ne definiše neki trgovinski uslov u ovom smislu, a vlasništvo prelati na Kupca tek po punoj isplati Dobara.
Osim ako u pisanom dokumentu nije drugačije usaglašeno, termin isporuke je informativnog karaktera i nije obavezujući za prodavca. Stranke su saglasne da neke okolnosti mogu sprečiti ili odložiti izvršenje isporuke u navedenom terminu. U tom slučaju, Prodavac je dužan da obavesti kupca u razumnom vremenskom periodu i da predloži novi termin isporuke. Ni pod kakvim okolnostima, Prodavac se ne može smatrati odgovornim za nastalu štetu i zakasnele isporuke.
Kupac sme da načini manja odstupanja u obimu naručenih Dobara, osim ako nije eksplicitno drugačije u pisanom obliku dogovoreno između Strana. Kupac dobije račun koji se odnosi na stvarnu količinu isporučenih Dobara. Prodavac ima pravo da obavi delimične isporuke Kupcu.
Osim ako naročito nije dogovoreno drugačije, Kupac je odgovoran za usaglašenje i pridržavanje svih zakona i uredbi u vezi sa uvozom, transportom skladištenjem i upotrebom Dobara.
Osim ako naročito nije ugovoreno drugačije, Preuzima i ne obavlja povrat ambalaže korišćene za isporuku Dobara, osim povratnih paleta (koje se moraju vratiti čiste i u dobrom stanju). Ako se isporuka obavlja teretnim vagonima ili kontejnerima koji se prevoze drumskim saobraćajem, dužnost kupca je da oni svom vlasniku budu vraćeni istog radnog dana na dan prispeća, a u suprotnom je Kupac dužan da Prodavcu plati penale na osnovu standardne cene iznajmljivanja koju je dao vlasnik vagona ili kontejnera.
4. Cena dobara
Cena dobara je određena prema ceni navedenoj u ponudi Prodavca. Osim ako naročito nije navedeno drugačije, sve cene iz ponude važe naijviše 5 dana, nakon čega ih Prodavac može promeniti bez prethodnog obaveštavanja Kupca.
Osim ako naročito nije drugačije dogovoreno, cena ne obuhvata troškove transporta i osiguranja, a na nju nisu obračunati primenjivi porezi, kao što je PDV i mogući drugi porezi, nacionalni i lokalni porezi, i / ili bilo koji troškovi carinjenja na uvoz i/ili izvoz, za koje je kupac dužan da dodatno plati ili otplati Prodavcu, pored plaćanja cene, bez obzira na to na koji način i ko potražuje taj porez.
Kupac zadržava pravo, obaveštavajući Kupca u bilo kom trenutku koji prethodi isporuci, da povisi cenu Dobara usled ma kog povećanja troškova koje on snosi zbog bilo kog faktora koji nije u vlasti Prodavca, usled bilo koje promene u datumu isporuke, količinama ili specifikacijama Dobara koje je naručio Kupac, kao i u slučaju odlaganja usled bilo kog naloga ili uputstva Kupca, odnosno u slučaju izostanka odgovarajućih informacija ili uputstava od strane Kupca za Prodavca. Ako kupac smatra da je porast cene nerazuman, ima pravo da uloži prigovor o takvom poskupljenju u roku od 15 dana od prijema obaveštenja o poskupljenju od Prodavca. Prodavac tada ima pravo da nastavi isporuku Kupcu po prvobitnoj ceni, ili da poništi ugovor odmah po obaveštavanju Kupca u pisanom obliku, bez ikakve obaveze da obešteti Kupca.
5. Uslovi plaćanja
Sve fakture prispevaju za plaćanje u peridu navedenom u fakturi, osim ako se Strane eksplicitno nisu dogovorile drugačije u pisanom obliku. Cena iz fakture je obavezujuća i konačna i sva plaćanja se izvršavaju u valuti navedenoj u fakturi.
Kupac ne može obustaviti svoju obavezu plaćanja, čak i u slučaju jasno zasnovane žalbe ili pravnog postupka u vezi sa isporučenim uslugama/ robom.
Ako se plaćanje ne izrši u roku, obačunava se kamata za zaostala plaćanja u iznosu od 10 % godišnje na iznos fakture, ipso jure i bez obaveze dostavljanaj opomene, i to od datuma prispeća plaćanja, do pune isplate. Ako se plaćanje ne izrši u roku od 10 dana od datuma prispeća, Prodavac može odlučiti da povisi iznos fakture, ipso jure i bez obaveze dostavljanja prethodne opomene, i to za 10% na ime obeštećenja, u minimalnom iznosu od 125 evra.
Uz zadržavanje svih drugih prava, u slučaju neplaćanja ili u slučaju obustave, sniženja iznosa ili poništenja odobrenog kreditnog limita od strane kompanije za osiguravanje kredita, kupac ima pravo da bez pretodnog obaveštavanja obustavi sve dalje isporuke kupcu i/ ili da proglasi sve tekuće ugovore ništavnim po sili zakona i/ ili da zahteva plaćanje svih obaveza koje predstoje, ali još nisu prispela za plaćanja, bez obzira na pravo Prodavca da zahteva pridržavanje svih prethodnih obaveza i da zahteva obeštećenje od Kupca. U slučaju neplaćanja Kupac gubi ostvarena prava na popuste, obuhvatajući, ali ne ograničavajući se samo na godišnji povrat novca. Prodavac ima pravo da zatraži povraćaj Dobara koja su već isporučena na osnovu prava zaržavanja depozita, čak i ako Kupac još uvek nije okončao ugovor sa Prodavcem, sve dok Kupac u potpunosti ne isplati predviđeni iznos za sva Dobra koja su mu isporučena. Pravo retencije se primenjuje mutatis mutandis u vezi sa Dobrima koje je isporučio Prodavac,a koja su predmet obrade Kupca.
Prodavac stiče pravo isključivog vlasništva nad tako proizvedenim dobrima, a u slučaju da proizvodnja iziskuje druge materijale, Prodavac stiče odgovarajući udeo u zajedničkom vlasništvu nad tako proizvedenim dobrima, u skladu sa vrednošću robe koju je Prodavac isporučio, u odnosu na vrednost isporuke drugih materijala.
Kupac nema pravo da umanjuje vrednost iznosa koji je u obavezu da isplati i li da vrši neko zadržavanje depozite (osim u obimu u kojem je to predviđeno zakonom).
Prodavac može pravo svakog zahteva predviđenog ovim ugovorom preneti na neko od svojih povezanih društava, ako što je Factoring Service Center NV, bez prethodne saglasnosti Kupca. Ako je bilo koja od odredbi opštih uslova poslovanja Kupca u koliziji sa takvom mogućnošću prenosa zahteva, takve odredbe se ovim eksplicitno ne prihvataju ili isključuju.
6. Garancija/ odgovornost za saobraznost
Prodavac se obavezuje da Dobra budu u skladu sa prodajnim specifikacijama proizvođača dobara. Gorenavedena garancija Prodavaca u vezi sa prodajnim
speciffikacijama važi pod sledećim pretpostavkama: (i) Prodavac ne snosi odgovornost za štetu nastalu usled obrade dobara od strane nekvalifikovanih lica, namernih oštećenja, nemara, neodgovarajućih uslova rada, nestručnog skladištenja, zloupotrebe ili izmene Dobara bez odobrenja Prodavca; i (ii) Kupac nema obaveze u vezi sa gorenavedenom garancijom ako pun iznos cene Dobara nije plaćen do datuma prispeća za plaćanje.
Kupac ovim dokumentom garantuje da se Dobra posredno ili neposredno, od strane kupca ili neke treće strane, neće biti korišćena ni u jednom EU MDR 2017/745 klase A, B ili C i/ili ISO 10993-1:2018 klase I, II ili III (ili odgovarajuća klasifikacija prema zakonodavnim aktima/ uredbama u SAD-u, Kanadi ili bilo kojoj zemlji), bez prethodnog odobrenja Prodavca za svaki specifičan proizvod i / ili primenu. Prodavac se ne može smatrati odgovornim u slučaju da Kupac prekrši prethodno pomenute uslove garancije.
Sve preporuke i/ili (mogući) stručni saveti u vezi sa korišćenjem i primenom dobara, sve dodatne specifikacije i/ili garancije za Dobra, koje daje Prodavac i neko od njegovih zaposlenih ili njegovih predstavnika (npr. putem elektronske pošte, telefona,...) koja prevazilaze standardne pisane spcifikacije, ne pružaju nikakvu garanciju izvan opsega koje je Prodavac predvideo ili nameravao da dostigne sopstvenim proizvodnim postupcima, niti Prodavac može za takve prihvatiti bilo koju odgovornost. Ako se strane usaglase da se Dobra prodaju kao „nižerazredna roba“ (mimo standardnih proizvodnih specifikacija), roba drugoklasnog kvaliteta, dobra od prerađenog materijala ili slično, Prodavac ne može prihvatiti odgovornost u pogledu kvaliteta dobara. Manja odstupanja u količini se ne smatraju oštećenjima i kupac ih mora prihvatiti. Kupcu se izdaje faktura zasnovana na stvarno isporučenoj robi.
Kupac je dužan da svu robu pregleda odmah po isporuci i u roku od od 5 dana po prispeću svake isporuke od Prodavca, ovog u pisanoj formi obavesti zavedenim dopisom na memorandumu o svakom vidnom oštećenju na osnovu kog Kupac tvrdi da isporučena Dobra nisu u skladu sa Dobrima iz prodajnih specifikacija. Ako postoje oštećenja koje Kupac nije mogao otkriti vizuelnom proverom na dan dostave, ili koja su postala uočljiva tek po obradi Dobara, Kupac mora odgovoriti Prodavcu u roku od 5 dana po otkrivanju oštećenja zavedenim dopisom na memorandumu. (i) Nepregledanje Dobara odmah po isporuci; (ii) nedostavljanje pisanog obaveštenja o pomenutim podacima putem zavedenog dopisa na memorandumu (iii) obrada Dobara obezbeđenih ovim ugovorom (u slučaju da se očekivalo da oštećenje bude otkriveno, ali nije), predstavlja nekvalifikovano i neopozivo prihvatanje Dobara od strane Kupca i potpuno odricanje od mogućnosti svake žalbe koja bi se mogla uložiti kod Prodavca.
Odgovornost kupca u vezi sa neispravnim ili oštećenim Dobrima se odnosi samo na povrat novca u iznosu kupoprodajne cene neispravnih ili oštećenih dobara, ili, ako se kupac izjasni da mu tako više odgovara, na zamenu neispravnih ili oštećenih dobara. Prodavac i u kojim uslovima i okolnostima ne može biti odgovoran za pojedinačne, nenamerne posredne gubitke i posledičnu štetu, kao što je izostanak dobiti, troškovi materijala za zamenu i troškovi žalbe klijenta Kupca/treće strane ili slične gubitke. Osim gorenavedenog, ukupna odgovornost prodavca ni u kom slučaju ne može biti veća od iznosa na odgovarajućoj fakturi za dobra. U svakom slučaju, Kupac je odgovoran da preduznme sve odgovarajuće mere da spreči ili ograniči štetu. Neuspešno ublažavanje štete smatra se punom osnovom za ništavnost svih zahteva Kupca u smislu žalbe Prodavcu. Kupac ima obavezu da u svakom trenutku u potpunosti sarađuje sa Prodavcem i proizvođačem Dobara, ukoliko se na Dobrima otkriju nedostaci.
Prodavac ne može biti odgovoran prema Kupcu ili se smatrati da je prekršio ugovor na u slučaju odloženog izvršenja ili svakog neizvršenja bilo koje obaveze Prodavca u vezi sa dobrima, ako je ovo kašnjenje ili neizvršenje nastupilo kao posledica nečega što nije u vlasti Prodavca.
Prodavac ne garantuje da dobra nisu predmet patenata ili drugih prava industrijske svojine trećih lica.
Ovim obuhvaćeno ograničenje odgovornosti je radi zaštite zaposlenih, saradnika i drugih predstavnika Prodavca.
Ne poništavajući i neumanjujući važenje bilo koje od odredbi ovih Uslova, Kupac je dužan da obezbedi, čuva i održava neoštećenim Prodavca i Prodavčeva matična i povezana društva, podružnice i predstavničke kancelarije, rukovodioce i zaposlene od svih odgovornosti, izdataka, troškova, štete i gubitaka (uključujući sve neposedne, posredne i posledične gubitke, gubitak profita, gubitak ugleda i svih interesa, kazni i pravnih i drugih razumnih profesionalnih troškova i izdataka) koje bi pretrpeo Prodavac ili bi pale na teret Prodavca u vezi sa bilo kojom žalbom ili zahtevom koje bi protiv prodavca uložila treća lica, a nastale usled ili u vezi sa dobavljanjem ili korišćenjem dobara, ili gde su dobra uključena. Ovo obeštećenje ili zaštita od štete se ne odnosi na slučajeve i do obima gde je osnovni ili glavni osnov žalbe neusaglašensot sa garancijama u trenutku distribucije robe.
7. Stečaj i nelikvidnost
Svaka strana ima pravo da okonča ugovor po dostavi pisanog obaveštenja drugoj strani u slučaju da (i) druga Strana pred bilo kojim sudom ili nadležnim telom u skladu sa bilo kojim statutom ili zakonodavnim aktom, ma kog zakonodavstva, uloži zahtev za pokretanje stečajnog postupka ili proglašenje nesolventnosti / nelikvidnosti ili ili za neki sličan postupak u cilju zaštite poverilava ili za imenovanje stečajnog upravnika ili izvšnog stečajnog upravnika druge strane ili za imovinu iste (ii) druga strana ima mogućnost predlaganja nedobrovoljnog stečajnog postupka, u slučaju da predlog takvog postupka nije obustavljen ili nije odbijen 90 dana po ulaganju, (iii) druga strana izvrši sistemsko imenovanje za kompletnu svoju imovinu u korist svojih poverilaca (iv) je kreditna sposobnost duge strane ugrožena.
8. Viša sila
U slučaju više sile, koja može biti, ali se ne ograničava samo na npr. (i) pandemija, (ii) rat, građanski nemiri, ratno zakonodavsto i vladine mere, (iii) štrajkovi, (iv) privredne sankcije, (v) požari i/ili udari groma, (vi) nepredvidivi događaji, smetnje u saobraćaju i transportu, (vii) nepredvidivi manjci rada, nestašice potrepština i/ili sirovina i materijala, kupac zadržava pravo da u svakom trenutku ili obustavi svoje obaveze dok traju uslovi koje je izazvala viša sila, ili, ako takvo stanje potraje duže od 6 meseci, da okonča ugovor, bez ikakve obaveze Prodavca da kupcu nadoknadi nešto po bilo kom osnovu.
9. Obustava obaveza
Ako u bilo kom trenutku važenja ugovora Prodavac proceni da je nastupila suštinska promena u (i) poslovanju, (ii) finansijskim okvirima, tehničkim ili komercijanim uslovima ugovora, usled koje Prodavac ima materijalne teškoće pri uslovima definisanim ugovorom, Prodavac će obavestiti kupca pisanim putem o želji da se sastanu i prerade uslove ugovora s obzirom na promenjene okolnosti poslovanja. Strane treba da se sastanu kako bi u dobroj veri razmotrile odgovarajuća stredstva, ako takva postoje, da se ublaže ili otklone uzroci takvih teškoća na način prihvatljiv za obe Strane. Ako se ne može postići dogovor, obustavljaju se obaveze obeju strana, sve dok se pomenuta promena ne vrati u normalno stanje, ili u Prodavac ima pravo da raskine ugovor bez ikakve obaveze da obešteti Kupca.
10. Bezbednost, usaglašensot i robne marke
Kupac sa Dobrima treba da postupa na način preporučen u Listu sa bezbednosnim podacima materijala i/ili bezbednosnom dokumentacijom Prodavca. U slučaju da Kupac ne poseduje ovu bezbednosnu informaciju, Kupac mora neodložno stupiti u kontakt sa prodavcem za svaki neophodan savet ili informaciju.
Kupac garantuje i preuzima odgovrnost da će se pridržavati svih primenjivih zakona, uključujući, ali ne ograničavajući se na zakone o zaštiti od korpcije, zakone o konkurenciji, zaštiti podataka (vidi član 12) i privrednih sankcija, kao i svih primenjivih mera koje su na snazi, ako bi se osiguralo da Kupac postupa u skladu sa takvim zakonima. U slučaju bilo kakvog zakonskog prekršaja od strane Kupca, prodavac ima pravo da raskine svaki ugovor sa Kupcem bez roka za davanje obaveštenja ili obaveze obeštećenja. Ako Kupac načini pomenuti prekršaj, dužan je da prodavcu nakonadi za svu štetu i gubitke na prvi zahtev.
Prodavac ne sme koristiti robne marke Prodavca,njegovih povezanih preduzeća ili njegovih snabvevača, bez prethodne eksplicitne pisane dozvole Prodavca.
11. Specifična dobra
U slučaju da Dobra predstavljaju LyondellBasell Goods, Kupac eksplicitno potvrđuje da je pročitao i razumeo, a dužan je i da razmotri i proceni svoje promene u (i) zabranjenim primenama i/ili krajnjoj primeni definisanoj Odeljkom 1 releventnog Lista sa bezbednosnim podacima („Zabranjene primene“) na www.lyb.com i (ii) krajnje primene označene kao primene koje iziskuju odobrenje LyondellBasell-a www.lyb.com („Zabranjene primene”) za dobra, od kojih oba podležu izmenama s vremena na vreme.
Kupac garantuje da se Dobra neće posredno ili neposredno, od strane Kupca ili nekog trećeg lica, koristiti za (i) zabranjene primene, za (ii) primene sa ograničenjima bez prethodnoh pisanog odobrenja Prodavca za svako specifično dobro. Kupac dalje garantuje da će do opsega do kog je kupac dobio pisano odobrenje Prodavca po sebiuzeti prethodnu rečenicu, i da je neće koristiti ni za jedno Dobro ili medicinsku primenu drugačiju od dobara koja se prodaju pod robnom markom i nazivom Purell. Prodavac zadržava pravo da proveri usaglašenost sa prethodno navedenim odredbama, a kupac je u obavezi da na vreme obezbedi informacije u razumnom obimu potrebne Prodavcu. Prodavac zadržava pravo da okonča Ugovor, u potpunosti ili u celeini , (i) u slučaju da KUpac koristi Dobro za zabranjene primene, (ii) u slučaju da Kupac koristi dobro u primenama sa ograničenjima bez prethodnog pisanog odobrenja Prodavca i/ili (iii) ako Kupac (nlagovremeno) ne obezbedi Prodavcu podatke koji su neophodni u skladu sa ovim paragrafom.
12. Razno
Primenjivi zakoni i nadležni sudovi - Uslovi i svi ugovori između Prodavca i Kupca podležu isključivo zakonodavstvu Srbije. Kupac i prodavac izričito isključuju primenu Konvencije Ujedinjenih nacija o Ugovorima za međunarodnu prodaju dobara (1980). U slučaju spora nadležan je isključivo Sud u Beogradu, Srbija, za sve korake u postupcima između Strana.
Nevaženje - Ništavnost i nemogućnost stupanja na snagu bolo koje odredbe ovih Uslova ni na jedan način ne utiče na važenje i primenjivost drugih odredbi ovih Uslova.
Izvršenje od strane povezanih društava – Dodela zaduženja - Po izboru prodavca, svaku obavezu iz ugovora (delimičnmo ili u celini) može izvršiti Prodavac, bilo koje od njegovoh povezanih društava, ili za izvršenje može biti imenovano neko od povezanih društava. Za sve isporuke obavljene pod ovim uslovima može obračunati i dostaviti fakturu angažovano povezano društvo, a to će predstavljati izvršenje obaveze od strane Prodavca na način predviđen ugovorom. U slučaju takvog imenovanja, primenjivaće se opšti uslovi poslovanja povezanog društva.
Neodustajanje - neodustajanje od prava obeštećenja Prodavca za svaki prekršaj Kupca treba posmatrati kao odustajanje od svakog narednog prekrišaja te ili bilo koje odredbe.
Promene u sadržaju i formulaciji - za bilo koju izmenu ovih Uslova potrebno je da postoji pisani dogovro obeju strana.
13. Privatnost podataka - Opšta uredba o zaštiti podataka
Prodavac je dužan da se pridržava Opšte uredbe o zaštiti podataka (EU) (2016/679) ili svih lokalnih primenjivih zakona. U internim okvirima Prodavac i njegova pridružena društva mogu obrađivati lične podatke, ali samo u svrhe saglasne sa onima u koje su lični podaci sakupljani (i) obrada ličnih podataka potencijalih, trenutnih i nekadašnjih klijenata (ii), upravljanje klijentima, potrebe knjigovodstvenog sistema, upravljanej kvalitetom i njegova dostignuća zasnovana na ugovornim vezama i/ili zato što koristite naše proizvode i usluge. Klijenti će o našoj politici privatnosti biti obavešteni na našoj veb-stranici. Kao naš potencijalni, trenutni ili nekadašnji klijent, imate sledeća prava koja možete ostvariti u s obzirom na svoje lične podatke: (i) pravo da povučete saglasnost u bilo kom trenutku, (ii) pravo pristupa ličnim podacima, (iii) pravo na ispravku ako su podaci nepotpuni, neodgovarajući ili zadiru u provatnost, (v) pravo na prenosivost podataka, i (vi) pravo prigovora.
